GreenMind Service Agreement
Version 2026-10-v1 · Draft, not yet in effect
In plain terms: you pay per store, one invoice per period; your stores run while paid through, with a 7-day grace period before screens pause; you own and are responsible for what appears on your screens; we use your Dutchie data only to run the Service.
1. Who this agreement is between
This Service Agreement (the “Agreement”) is between GreenMind (“we”, “us”) and the business that accepts it (“you”, the “Customer”). You accept it by checking the box when you accept a quote or choose a plan in the GreenMind dashboard. We record the version you accepted, who accepted it, when, and from which network address.
The person accepting confirms they are authorized to bind the Customer.
2. The service
GreenMind provides software for in-store screens and store operations, including queue boards, menu boards, customer-facing kiosks, slideshows, scheduling, alerts and related dashboards (the “Service”), for each store listed in your quote or added to your account.
Features depend on each store’s plan. We may improve and change the Service over time; we will not materially reduce the core features of a paid plan during a period you have already paid for.
3. Fees and invoicing
- Fees are per store, per billing period, according to the plan and number of additional TVs in your quote or plan request.
- Install visits and hardware, where ordered, are billed once as stated in your quote.
- Annual prepayment, where offered, is billed for twelve months at the price of ten.
- We issue one invoice per billing period covering all of your stores. Invoices are due by the start of the period they cover.
- Prices exclude taxes, which you pay where they apply.
- We may change prices with at least 30 days’ written notice. Changes apply from your next billing period.
- Quotes, invoices and this Agreement never contain card or bank account numbers. Payment details are handled only by our payment processor.
4. Paid-through access, grace period and pause
Each store has a “paid-through” date. The Service is fully available while the paid-through date is today or later.
- Grace period. If a payment is late, the Service keeps working for 7 days after the paid-through date, and the dashboard shows a reminder.
- Pause. After the grace period, the store is paused: screens show a neutral “service paused” message, the dashboard becomes read-only, and data connections such as Dutchie stop refreshing. Your content and settings are kept.
- Resume. When payment is recorded, the store resumes immediately with no reconfiguration.
Your stores switch on for the first time when your first invoice is paid.
5. Your content and advertising rules
You decide what appears on your screens and you are responsible for it, including images, video, text, product information and promotions (“Customer Content”).
- You are responsible for making sure Customer Content and the placement of your screens comply with all laws and regulations that apply to you, including your state’s cannabis advertising, marketing, packaging and signage rules (for example, rules on health claims, appeal to minors, and visibility from outside the premises).
- You confirm you have the rights to use Customer Content and give us a limited license to store, process and display it solely to provide the Service.
- We do not review Customer Content before it is shown. We may remove or disable content we reasonably believe is unlawful or infringes someone’s rights, and will tell you when we do.
6. Dutchie and other connected data
If you connect a point-of-sale or e-commerce account such as Dutchie, you authorize us to access it on your behalf to provide the Service — for example, to read your guest check-in list for queue boards and your inventory, prices and discounts for menus.
- Your API key is stored encrypted and used only to provide the Service to you.
- We use connected data only to operate, secure and support the Service. We do not sell it or use it to market to your customers.
- Queue boards show shortened guest names (for example, first name and last initial).
- Third-party systems are outside our control. If they are unavailable or change, affected features may be limited until they recover.
- You are responsible for your agreement with the third-party provider and for having the right to share this data with us.
7. Hardware
Screens run on a certified player box supplied by us or approved by us. Whether hardware is sold or provided for the term of the Agreement is stated in your quote.
- Boxes are configured to run only the GreenMind player and receive software updates automatically.
- Please keep boxes powered, ventilated and connected. Do not open, modify or reconfigure them.
- If a box fails in normal use, we will work with you to repair or replace it under the hardware terms in your quote.
- You provide the TVs, power, mounting surfaces and internet connection.
8. Installation
If you order an install visit, an installer will mount and connect the hardware, position screens and complete a checklist. You will be asked to sign off when the work is done. You are responsible for safe access to the premises and for any building or landlord approvals.
9. Support and service targets
You can reach support through the in-app support inbox. We aim to respond within these targets, measured in business hours (Monday–Friday, Eastern time, excluding US holidays):
- Urgent (screens down across a store): first response within 4 business hours.
- Normal: first response within 1 business day.
- Low: first response within 3 business days.
These are targets, not guarantees. We monitor screens and may contact you when one goes offline. Planned maintenance will be scheduled to minimize disruption during store hours where practical.
10. Term and termination
- The Agreement starts when you accept it and continues month to month, or for the prepaid annual period, until ended.
- Either party may end the Agreement, or remove a store, with 30 days’ written notice effective at the end of a paid billing period. Prepaid fees are not refunded except where required by law or stated in your quote.
- Either party may terminate immediately if the other materially breaches the Agreement and does not cure it within 15 days of notice.
- After termination, you may request an export of your Customer Content for 30 days. We then delete it, except where we must keep records by law.
11. Privacy and security
We handle personal information as described in our Privacy Notice. We use reasonable administrative, technical and physical safeguards, including encryption of stored credentials, role-based access and an audit log of changes.
12. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Except as stated in this Agreement, the Service is provided “as is”, and we disclaim all other warranties to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
13. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party’s total liability arising from this Agreement is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party’s indemnity obligations, or liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Content or your failure to comply with laws that apply to your business, including cannabis advertising rules.
15. Governing law
This Agreement is governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The state and federal courts located in Michigan have exclusive jurisdiction over any dispute arising from it.
16. General
- Changes. We may publish a new version of this Agreement. We will tell you in advance, and the new version applies once accepted in the dashboard or at your next renewal, as stated in the notice.
- Notices. We send notices to the account owner’s email address. You can send notices through the support inbox.
- Entire agreement. This Agreement and your accepted quote are the whole agreement between us about the Service. If they conflict, the quote controls for pricing and hardware.
- Assignment. Neither party may assign this Agreement without the other’s consent, except to a successor of its business.
